Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Stash platform, websites, and services (collectively, the "Service") provided by Stash, a French société par actions simplifiée registered in Paris under SIREN 952800159("Stash", "we", "us", or "our").

By creating an account or using the Service, you ("Customer", "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

The Service is intended exclusively for use by businesses and professionals. The Service is not offered to consumers within the meaning of Article L. 217-3 of the French Consumer Code.

1. The Service

Stash provides a cloud-based inventory management platform for retail, food & beverage, and similar businesses. Features include inventory tracking, multi-location management, point-of-sale integrations, purchase ordering, and related functionality. We may modify, add, or remove features at any time.

2. Account

You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity under your account and for keeping your credentials secure. You must notify us promptly of any unauthorized access.

You must be at least 18 years old and authorized to bind your business to these Terms.

3. Subscription, Fees, and Payment

Plans. The Service is offered under subscription plans described at [https://getstash.io/pricing]. Current plans include Core, Pro, Scale, and Enterprise tiers.

Billing. Fees are billed in advance on a monthly or annual basis depending on your plan. All fees are in US Dollars (or the currency displayed at checkout) and exclusive of applicable taxes (including VAT), which you are responsible for paying.

Auto-renewal. Subscriptions automatically renew for successive periods of the same length unless cancelled before the end of the current billing period through your account settings.

Failed payment. If payment fails, we may suspend or terminate your access after reasonable notice.

No refunds. Fees already paid are non-refundable, except (i) where required by applicable law, including the 14-day right of withdrawal under Articles L.221-3 and L.221-18 of the French Consumer Code for qualifying small professionals (5 or fewer employees, where the Service falls outside the customer's main activity), and (ii) where you have not expressly waived such right of withdrawal at the time of subscription in accordance with Article L.221-28 of the French Consumer Code.

Price changes. We may change pricing at any time. Changes apply to your subscription from the next renewal period, and we will give you at least 30 days' notice.

4. Trials and Free Plans

If we offer a free trial or free plan, we may modify or end it at any time. Trial accounts are provided "as is" without warranty of any kind.

5. Customer Data

Ownership. You retain all rights to the data you upload to the Service ("Customer Data").

License to us. You grant Stash a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service.

Responsibility. You are responsible for the legality, accuracy, and content of your Customer Data and for having all necessary rights to upload it.

Data protection. Our processing of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Agreement, which forms part of these Terms.

Backups. We make reasonable efforts to back up Customer Data but recommend you maintain your own backups. We are not liable for any loss of Customer Data.

6. Acceptable Use

You agree not to:

  • Use the Service in violation of any law or third-party rights;
  • Resell, sublicense, or make the Service available to anyone outside your organization without our written consent;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service;
  • Upload malicious code, attempt to gain unauthorized access, or interfere with the Service's operation;
  • Use the Service to store or transmit infringing, unlawful, harmful, or harassing content;
  • Use the Service to build a competing product.

We may suspend access immediately if we believe you have breached this section.

7. Third-Party Integrations

The Service integrates with third-party services (including but not limited to Square, Odoo, Stripe, and other point-of-sale and payment providers). Your use of these third-party services is governed by their own terms, and we are not responsible for their availability, performance, or actions.

8. Stash Intellectual Property

The Service, including all software, design, content, trademarks, and documentation, is owned by Stash or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, subject to these Terms.

9. Confidentiality

Each party agrees to keep the other's non-public information confidential and to use it only for purposes of the Service. This obligation survives termination.

10. Warranty Disclaimer

The Service is provided "as is" and "as available" without any express or implied warranty of any kind. To the maximum extent permitted by law, Stash disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and accuracy.

We do not warrant that the Service will be error-free, uninterrupted, secure, or that any data will be accurate or recoverable.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunity.
  • Stash's total aggregate liability arising out of or in connection with these Terms is limited to the amount you paid to Stash in the twelve (12) months preceding the event giving rise to the claim.

These limits apply regardless of the legal theory of the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold Stash harmless from any third-party claim arising out of (a) your use of the Service in breach of these Terms, (b) your Customer Data, or (c) your violation of any law or third-party right.

13. Term and Termination

These Terms remain in effect while you have an active account.

Termination by you. You may cancel your subscription at any time through your account. Cancellation takes effect at the end of the current billing period.

Termination by us. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or use the Service in a way that creates risk for us or other users. We may also terminate for convenience with 30 days' notice.

Effect of termination. Upon termination, your right to use the Service ends. We will make Customer Data available for export for 30 days after termination, after which we may delete it. Sections that by their nature survive termination (IP, confidentiality, liability, governing law) will survive.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms are governed by French law, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.

16. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any DPA, constitute the entire agreement between the parties regarding the Service.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability. If any provision is found unenforceable, the rest of the Terms remain in effect.

No waiver. Failure to enforce any right is not a waiver of that right.

Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
